TheraXPro Subscription Site Agreement

Last updated: October 26, 2026
Effective date: November 1, 2026

This Site Agreement ("Agreement") governs access to and use of TheraXPro, Inc.'s websites, applications, digital tools, content, and related services (collectively, the "Platform").

TheraXPro, Inc. ("TheraXPro," "we," "us," or "our") is a Georgia nonprofit organization recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code. TheraXPro provides digital tools for education, professional support, rehabilitation workflows, and movement-based fields.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to this Agreement and the Privacy Policy. If you do not agree, do not create an account or use the Platform.

Summary of Terms — Plain Language

  • TheraXPro provides digital tools designed to support clinicians, rehabilitation professionals, students, educators, and other users.

  • TheraXPro does not provide medical care, diagnosis, treatment, or individualized clinical decision-making.

  • TheraXPro's tools and content do not replace professional judgment.

  • You are responsible for reviewing and appropriately using exercises, templates, outcome measures, calculations, educational materials, recommendations, automated outputs, and other Platform content.

  • Do not enter or upload protected health information (PHI), patient names, patient records, or other patient-identifying clinical information. Recipient email addresses or phone numbers may be entered only in designated delivery fields to send a program or resource, subject to Section 4.

  • You are responsible for information you enter into the Platform and for ensuring that you have the legal authority to use or share that information.

  • You must use the Platform lawfully and in accordance with applicable professional standards.

  • TheraXPro does not sell personal information or use personal information for targeted advertising, subject to the additional details described in the Privacy Policy.

  • The Platform is provided to support education and professional workflows and is not guaranteed to be error-free, uninterrupted, or appropriate for every clinical situation.

  • TheraXPro requires an active subscription, an eligible free trial, or expressly granted complimentary access to use its clinical tools. Individual subscriptions are offered as a monthly or an annual plan, with pricing and any applicable taxes shown before you complete enrollment.

  • Paid subscriptions renew automatically — monthly plans renew each month and annual plans renew each year — until you cancel.

  • Eligible accounts may receive a one-time free trial. If a trial is offered, it automatically converts to a paid subscription at the disclosed price when the trial ends unless you cancel before the trial ends.

  • You can cancel from the Billing area of the Platform. Cancellation stops the next renewal, and access continues through the end of your current trial or paid period. Logging out or stopping use does not cancel recurring billing. Account closure must include cancellation of future renewals.

This summary is provided for convenience and does not replace the complete terms below.

Privacy Policy: https://www.theraxpro.com/privacy-policy

1. Eligibility and Accounts

You must be legally capable of entering into this Agreement and meet any age or eligibility requirements applicable to use of the Platform.

When creating an account, you agree to provide accurate information and keep your account information reasonably current.

You are responsible for maintaining the confidentiality and security of your login credentials and for activity occurring through your account.

Each account is for one individual user. You may access your own account on multiple devices, but an individual subscription does not authorize shared access by coworkers or other people.

You may not share credentials, impersonate another person, create an account using information you are not authorized to use, or permit unauthorized access to the Platform.

You agree to notify TheraXPro promptly if you become aware of unauthorized access to or use of your account.

2. Professional and Clinical Use

TheraXPro provides educational, informational, administrative, and professional-support tools.

TheraXPro does not practice medicine, physical therapy, occupational therapy, speech-language pathology, nursing, or any other licensed healthcare profession through the Platform.

TheraXPro does not establish a provider–patient relationship with any individual through use of the Platform.

Users remain solely responsible for determining whether any content, exercise, equipment recommendation, outcome measure, calculation, template, instruction, resource, or other information available through the Platform is appropriate for a particular individual or circumstance.

Healthcare professionals are responsible for complying with applicable scope-of-practice and licensure requirements, professional standards, employer or organizational policies, documentation and privacy obligations, ethical obligations, and federal, state, and local laws.

Nothing on the Platform should be relied upon as a substitute for independent professional judgment.

3. Clinical Disclaimer and Patient Safety

TheraXPro does not provide medical advice, diagnosis, treatment, emergency services, or individualized clinical decision-making.

Exercises, educational materials, equipment information, outcome measures, calculators, templates, and other resources may not be appropriate for every individual.

Users are responsible for independently evaluating contraindications, precautions, patient characteristics, environmental factors, equipment suitability, and other relevant considerations before applying information obtained through TheraXPro.

TheraXPro does not guarantee that Platform content is complete, current, error-free, or appropriate for any specific patient, diagnosis, condition, setting, or purpose.

If there is any conflict between information provided through TheraXPro and a user's professional judgment, applicable professional standards, manufacturer instructions, organizational policies, or applicable law, the user is responsible for determining the appropriate course of action.

TheraXPro is not an emergency service and should not be used for emergency medical situations.

4. Patient Information, PHI, and Sensitive Health Information

TheraXPro is designed as an educational and professional-support platform. It is not intended for the collection, storage, maintenance, or management of patient records or patient-identifying health information.

Users must not enter, upload, transmit, store, or otherwise provide protected health information ("PHI"), patient records, patient names, or other patient-identifying clinical information through the Platform.

Limited delivery contact information. Where the Platform provides a designated field for sending an exercise program or educational resource by email or text message, you may enter the recipient's email address or phone number solely for that delivery purpose. You must have the necessary authority and any required consent, verify the destination, and comply with applicable law and organizational policies. Do not include patient names, diagnoses, medical histories, or other patient-identifying clinical information in messages, program titles, free-text fields, or attachments.

This limited permission does not authorize transmission of PHI or establish that TheraXPro or a delivery provider is suitable for a particular regulated healthcare communication. If the contact information, linked program, or surrounding context would constitute PHI in your proposed use, do not use the delivery feature for that communication. Delivery providers may process or retain recipient information and delivery logs as described in the Privacy Policy. Shared links may be forwarded or accessed by others who obtain them; evaluate whether sharing is appropriate before sending.

This restriction applies regardless of whether the user is a healthcare professional, has access to the patient's information through another system, or otherwise has permission to view or use that information.

Except for the limited recipient contact information allowed in designated delivery fields above, users are responsible for ensuring that information entered into the Platform does not identify an individual patient or contain information that could reasonably be used to identify an individual patient.

TheraXPro should not be used as a patient record, medical record, electronic health record ("EHR"), electronic medical record ("EMR"), clinical documentation repository, or substitute for an organization's approved patient-information system.

Users are responsible for maintaining patient records and protected health information within appropriately authorized systems in accordance with applicable laws, professional requirements, and organizational policies.

The availability of a text field, patient-related workflow, exercise program, outcome measure, template, or other Platform feature does not constitute authorization to enter PHI or patient-identifying information into TheraXPro.

TheraXPro reserves the right to remove information, restrict access, suspend accounts, or take other reasonable action if prohibited patient information is submitted to the Platform.

If a user becomes aware that PHI or patient-identifying information has been inadvertently submitted to TheraXPro, the user should discontinue further submission of such information and promptly contact TheraXPro at Support@TheraXPro.com.

5. Privacy and Data Stewardship

TheraXPro is committed to responsible stewardship of personal information.

TheraXPro seeks to collect information reasonably necessary to operate and improve the Platform, use information for legitimate and disclosed purposes, maintain appropriate safeguards, promote transparency, respect user trust, not sell personal information, and not use personal information for targeted advertising.

TheraXPro may use aggregated, statistical, or de-identified information for purposes such as improving services, understanding Platform usage, evaluating impact, research, reporting, organizational planning, and furthering our nonprofit mission, subject to applicable law and the Privacy Policy.

Our Privacy Policy provides additional information about how information is collected, used, retained, disclosed, and protected.

6. Responsible Use

You agree to use TheraXPro in accordance with applicable laws, professional standards, and this Agreement.

You may not use the Platform for unlawful, fraudulent, deceptive, abusive, or harmful purposes; misrepresent Platform-provided material; attempt unauthorized access; circumvent security measures; disrupt the Platform; introduce malicious code; use unauthorized bots, scripts, scraping, or automated extraction; reverse engineer except where restriction is prohibited by law; commercially exploit proprietary content except as permitted; upload information you lack authority to use; use another person's account without authorization; or infringe the rights of others.

TheraXPro may investigate suspected violations and may restrict, suspend, or terminate access when reasonably necessary to protect users, the Platform, TheraXPro, or others.

7. Automated and Artificial Intelligence Tools

TheraXPro may use or introduce automated, algorithmic, or artificial-intelligence-assisted technologies to support education, productivity, accessibility, information retrieval, or professional workflows.

When such functionality is provided, automated or AI-assisted outputs are intended as support tools and should not be treated as independent clinical decisions.

Users are responsible for reviewing, verifying, adapting, and appropriately applying outputs before relying upon them.

TheraXPro does not authorize AI or automated systems on the Platform to independently diagnose, prescribe treatment, or replace qualified professional judgment.

TheraXPro may modify, limit, test, or discontinue automated or AI-assisted functionality as the Platform evolves.

8. Equipment and Third-Party Products

TheraXPro may provide information about rehabilitation equipment, assistive devices, consumer products, or other third-party products and services.

Product information is provided for informational and professional-support purposes. A product's appearance on TheraXPro does not guarantee that it is appropriate, safe, available, covered by insurance, or suitable for a particular individual.

Users are responsible for independently evaluating product suitability, specifications, manufacturer instructions, precautions, contraindications, fit, installation, use, and patient-specific considerations.

Product information, pricing, availability, images, descriptions, and links supplied by third parties may change without notice.

TheraXPro is not responsible for the manufacture, quality, shipping, fulfillment, warranty, return policies, customer service, or performance of third-party products.

TheraXPro may receive referral, affiliate, or similar compensation from certain third-party links or purchases where permitted by law. Such relationships do not replace independent professional judgment regarding whether a product is appropriate.

9. Third-Party Services and Content

The Platform may contain or integrate links, videos, products, websites, applications, services, or content provided by third parties.

Third-party services are governed by their own terms, privacy practices, availability, and policies.

TheraXPro does not control and is not responsible for third-party services, content, security, availability, accuracy, products, or business practices.

Accessing a third-party service through TheraXPro does not necessarily constitute endorsement of that third party.

10. Intellectual Property

The Platform and its original software, design, branding, graphics, databases, educational resources, organization, and other original content are owned by or licensed to TheraXPro and are protected by applicable intellectual-property laws.

Subject to this Agreement, TheraXPro grants users a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for its intended educational, professional, and workflow-support purposes.

Permitted clinical and educational sharing. Using the Platform's intended features, you may create, customize where supported, print, download, and share exercise programs, patient handouts, and other resources designated for distribution with patients, caregivers, students, or others for their intended clinical or educational use. Recipients may use and retain those distributed resources for that purpose. Ending a subscription does not require retrieval or destruction of materials already lawfully distributed. This permission does not authorize sharing account access, bulk extraction of the library, resale of resources as standalone products, or creation of a competing content library. Third-party materials remain subject to applicable licenses and restrictions.

Except where expressly authorized, this license does not permit users to reproduce, distribute, sublicense, sell, commercially exploit, reverse engineer, or create unauthorized derivative products from TheraXPro's proprietary materials or technology.

Nothing in this Agreement transfers ownership of TheraXPro intellectual property to a user.

11. User-Provided Content

You retain any rights you may have in information or content that you lawfully submit to TheraXPro.

You represent that you have the necessary rights and authority to submit that information and permit TheraXPro to process it as reasonably necessary to provide, secure, maintain, and improve the Platform in accordance with this Agreement and the Privacy Policy.

You are responsible for ensuring that content you submit does not violate law, contractual obligations, confidentiality requirements, intellectual-property rights, privacy rights, or the rights of others.

12. Subscriptions, Trials, Billing, and Cancellation

Individual subscriptions. TheraXPro offers individual paid subscriptions for $5 per month or $48 per year (USD). Applicable taxes, if any, are disclosed before purchase. An annual subscription is billed as a single annual payment and not as monthly installments. Subscription payments are separate from any charitable donation to TheraXPro.

Enrollment and authorization. Having an existing account does not by itself authorize TheraXPro to charge you. To start a paid subscription, you must select a plan, accept this Agreement, and separately authorize recurring payments. Subscription payments are processed through Stripe. Before completing enrollment through Stripe Checkout, you must affirmatively authorize the recurring charges for your selected plan. The enrollment flow displays the selected plan, amount and frequency of charges, any applicable trial, first payment date, and cancellation terms. Acceptance of this Agreement alone does not authorize billing. TheraXPro records your acceptance of this Agreement. Recurring-payment authorization and subscription billing are processed through Stripe, with associated transaction and subscription records maintained through our payment integration.

Free trials. Eligible accounts may receive a one-time 30-day free trial. A valid payment method is required. Your subscription charge at trial enrollment is $0. Unless you cancel before the trial ends, your selected payment method will automatically be charged $5 per month or $48 per year, depending on your selected plan, plus applicable taxes. If a free trial is offered to you, your eligibility, the trial duration, the date of the first charge, and the recurring price are displayed before you complete enrollment. When the trial ends, your subscription automatically begins charging at the disclosed price unless you cancel before the trial ends.

Automatic renewal. Paid subscriptions renew automatically — a monthly subscription renews monthly and an annual subscription renews annually — until you cancel. Your separate payment authorization authorizes TheraXPro, through its payment processor, to charge your payment method at the disclosed frequency and amount, including any applicable taxes.

Cancellation. You may cancel a subscription at any time through the Billing area of the Platform. Cancellation stops the next renewal. After you cancel, you retain access through the remainder of your current paid period or free trial, unless access is restricted for another permitted reason. If you cancel during a free trial, the first charge does not occur.

Stopping use and account closure. Logging out of the Platform or discontinuing use does not cancel a subscription. Account closure must include cancellation of future subscription renewals; TheraXPro will not knowingly continue renewal charges after completing account closure. Canceling renewal does not itself delete your account. Closing an account may end your ability to use remaining access because the account is no longer available. If you cannot access Billing or need assistance with cancellation or closure, contact support@theraxpro.com.

Failed payments. If a required subscription payment fails, subscription access is restricted without a grace period until payment is successfully resolved and verified. Updating a payment method alone does not establish that payment has succeeded. Restriction of clinical tools does not prevent you from managing billing, updating payment information, canceling future renewals, or retrieving available billing documents. Stripe may retry failed payments in accordance with the applicable payment-recovery settings. Canceling future renewals does not erase amounts already owed for a paid billing period.

Refunds. Paid subscriptions are generally nonrefundable. Canceling a subscription does not ordinarily entitle you to a refund of the unused portion of a paid period. TheraXPro may provide a refund at its discretion. This section does not limit any rights you may have under applicable law.

Billing management and records. While your subscription or trial access remains available, you can manage your subscription, update payment information, cancel future renewals, and view or download available invoices and payment receipts through the Stripe Billing Portal, accessible from the Billing area of TheraXPro. Canceling future renewals does not immediately end access: you retain access through the end of your current trial or paid period, unless access is restricted for another reason permitted by this Agreement. Once that access period ends, you may no longer be able to access the Billing area or retrieve documents through the Platform. If you need an invoice or payment receipt after your access has ended, or if your account is closed or you otherwise cannot access your billing documents, contact support@theraxpro.com. TheraXPro will assist you in obtaining available billing records, subject to identity verification and applicable retention requirements. You are responsible for keeping your billing email address current. Billing documents may be used for your records or submitted for employer reimbursement; TheraXPro does not guarantee reimbursement.

Electronic subscription communications. TheraXPro and its payment processor may send electronic notices concerning enrollment, trial expiration, payments, plan changes, cancellation, and other subscription activity to your account or billing email address or through the Platform. A $0 trial invoice documents the trial and is not evidence of a paid charge. Your selected plan, first payment date, and renewal terms are provided during enrollment. A subscription change does not necessarily result in a new invoice or immediate charge.

Plan changes. Available plan changes, their effective dates, and any immediate charges, credits, or changes to the next billing date are displayed before you confirm a change. A scheduled change takes effect on the disclosed date. Unless otherwise disclosed, the subscription continues under its existing terms until that date. Any new recurring amount and billing frequency apply as disclosed when you authorize the change.

Discounted and complimentary access. TheraXPro may offer discounts or may expressly grant complimentary access to the Platform under stated conditions. Where a discount or complimentary period applies, its duration, eligibility, and the price that applies afterward are disclosed. TheraXPro does not offer a generally available free subscription tier.

Changes to pricing. TheraXPro may change subscription pricing. Changes are communicated before they take effect, with any notice or consent required by applicable law. You may cancel a future renewal before a new price applies.

13. Platform Availability and Changes

TheraXPro continuously develops and improves its services. Features may be added, modified, limited, suspended, or discontinued.

TheraXPro does not guarantee that the Platform or any particular feature will always be available, uninterrupted, secure, or error-free.

Maintenance, technical failures, third-party outages, security concerns, legal requirements, or other circumstances may temporarily or permanently affect Platform availability.

Where reasonably practical, TheraXPro may provide notice of material changes affecting users, but cannot guarantee advance notice in every circumstance.

14. Account Suspension and Termination

TheraXPro may suspend, restrict, or terminate access to the Platform when reasonably necessary, including for violation of this Agreement, suspected fraud or unlawful activity, security threats, misuse or abuse, unauthorized access, risk to users or third parties, or legal or regulatory requirements.

Users may discontinue use of TheraXPro at any time.

Discontinuing use or logging out does not cancel recurring billing. Account closure must include cancellation of future renewals as described in Section 12. If TheraXPro permanently terminates your account, it will also cancel future renewals. Temporary restrictions, including restrictions following a failed payment, do not themselves cancel the subscription or erase amounts already owed. Billing management and assistance remain available as described in Section 12.

Termination does not eliminate obligations or liabilities that by their nature should survive termination.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS CONTENT, TOOLS, SERVICES, OUTPUTS, AND RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

THERAXPRO DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

THERAXPRO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR ANY PARTICULAR CLINICAL, PROFESSIONAL, EDUCATIONAL, OR OTHER PURPOSE.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to every user.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THERAXPRO, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF OR INABILITY TO USE THE PLATFORM.

This includes, to the extent permitted by law, damages or losses associated with reliance on Platform content, professional or clinical decisions, loss of data, loss of revenue, business interruption, third-party products or services, or unauthorized access.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THERAXPRO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, PAID BY THE USER TO THERAXPRO FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TheraXPro, Inc. and its directors, officers, employees, volunteers, contractors, and agents from claims, damages, liabilities, losses, and reasonable costs arising from your unlawful or unauthorized use of the Platform, your violation of this Agreement, your violation of another person's rights, or information you submit without appropriate authorization.

18. Governance and Compliance

TheraXPro operates as a nonprofit organization guided by principles of accountability, transparency, ethical technology use, and public benefit.

TheraXPro seeks to comply with laws and regulations applicable to its operations and periodically reviews its privacy, security, governance, and technology practices.

Nothing in this Agreement should be interpreted as a representation that TheraXPro is certified, accredited, approved, or compliant with a particular regulatory or industry framework unless TheraXPro expressly states that such status has been achieved.

19. Changes to This Agreement

TheraXPro may update this Agreement as the Platform, applicable laws, or organizational practices change.

TheraXPro will provide notice of material changes through the Platform, by email, or through another reasonable method, including advance notice where required by applicable law. The notice will identify when the revised terms take effect. Changes will not retroactively authorize charges that you have not authorized. Where legally permitted, changes needed urgently for security or legal reasons may take effect sooner, with notice as appropriate.

Where required by law or where TheraXPro determines that renewed consent is appropriate, users may be required to review and accept updated terms before continuing to use the Platform.

The "Last Updated" date at the top of this Agreement identifies the current version.

20. Governing Law and Disputes

This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to this Agreement or the Platform that is not otherwise required to be brought in another forum shall be brought in a state or federal court of competent jurisdiction located in Georgia, and each party consents to the personal jurisdiction of those courts.

21. Severability and Entire Agreement

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

This Agreement, together with the Privacy Policy and any additional terms expressly applicable to particular TheraXPro services, constitutes the agreement governing use of the Platform.

Acceptance

By selecting the applicable checkbox, selecting "I Agree," creating an account, or otherwise accessing the Platform where legally sufficient, you acknowledge that you have read and agree to this Site Agreement and the Privacy Policy.

If you enroll in a paid subscription, you provide a separate authorization for recurring payments at the time of enrollment. That recurring-payment authorization is in addition to, and distinct from, your acceptance of this Site Agreement: accepting this Site Agreement alone does not authorize any charge, and no subscription charge occurs unless you have separately selected a plan and authorized recurring payments as described in Section 12.
